TaskSouq Terms of Service

Welcome to TaskSouq.

These Terms of Service ("Terms") govern your use of the TaskSouq website located at tasksouq.com (the "Website") and the TaskSouq mobile application (collectively referred to as the "Platform"). TaskSouq is owned and operated by TaskSouq Ltd., a company registered in London, United Kingdom. In these Terms, "TaskSouq," "we," "us," or "our" refers to TaskSouq Ltd., and "you" or "user" refers to any individual or entity accessing or using the Platform.

Please carefully read these Terms before using the Platform. By accessing the Platform, creating an account, or clicking to accept or agree to these Terms when prompted, you acknowledge and agree to be bound by these Terms and our Privacy Policy, which is available here. If you do not agree to these Terms or the Privacy Policy, you must not use the Platform. Additional policies regarding the use of the Platform can be found in designated articles on the Platform.

Eligibility The Platform is available only to users who are at least 18 years of age and legally capable of entering into binding contracts. If you are between the ages of 13 and 18, you may use the Platform only with the permission and supervision of a parent or legal guardian. Individuals under the age of 13 are not permitted to use the Platform. By using the Platform, you represent and warrant that you meet the above eligibility requirements. If you do not meet these requirements, you may not access or use the Platform.

Language of Terms The original language of these Terms, as well as all other content on the Platform, is English. Any translations provided are for convenience only. In the event of any conflict between the original English version and a translated version, the English version will prevail.

Key Terms

Users: Individuals or entities who access and use the Platform.
Tasks: Services offered on TaskSouq.
Custom Offers: Proposals created by Task Providers in response to specific requirements from Task Buyers.
Custom Orders: Requests made by Task Buyers for a Custom Offer from a Task Provider.
Task Extras: Additional services offered by Task Providers for an additional fee beyond the base Task price.
Task Packages: Sets of services offered by Task Providers in various formats and prices, which may include additional upgrades.
Task Page: The section of the Platform where Task Providers describe their Task, terms, and pricing, and where Task Buyers can purchase the Task and place an order.
Task Buyers: Users who purchase services on TaskSouq.
Task Providers: Users who offer and perform services through Tasks on TaskSouq.

Overview (Main Terms)

Only registered users may seek and provide on TaskSouq, and registration is free.
When registering, you agree to provide accurate and complete information and to not create fraudulent or misleading accounts.
You are responsible for all activity on your account and for safeguarding your password. TaskSouq is not liable for any actions or omissions on your account.
Tasks on TaskSouq may be offered at various prices, with some starting at a base price of £10 or more, as determined by Task Providers.
Task Buyers pay TaskSouq in advance to create an order (see Payment Terms).
Task Providers must fulfill their orders and may not cancel orders without cause. Cancellations may affect a Task Provider's reputation and status.
Task Providers earn account statuses (Ranks) based on their performance and reputation, which come with various benefits.
Users may only make payments through the TaskSouq platform and not through other methods.
When purchasing a Task, Task Buyers are granted all rights to the delivered work, unless otherwise specified by the Task Provider.
TaskSouq retains the right to use published delivered works for marketing and promotional purposes.
Users must comply with TaskSouq's Community Standards, in addition to these Terms.

Task Providers Basics

Task Providers create Tasks on TaskSouq to allow Task Buyers to purchase their services.
Task Providers may also offer Custom Offers to Task Buyers in addition to their Tasks.
Each Task sold and successfully completed earns Task Providers 85% of the purchase amount.
Task Providers receive earnings once an order is completed (see "Orders" section for details).
Task Providers may not promote their Tasks or TaskSouq content via unauthorized advertising platforms.

Tasks

Task Providers are allowed to post a specific number of active Tasks based on their Rank status.
Task content and users may be removed from the Platform for violations of these Terms or our Community Standards.
Task images must accurately represent the service offered, and the quality of service must match what is shown in the images.
Task descriptions and statements must not undermine or circumvent these Terms.

Task Extras

Task Extras are additional services offered by Task Providers for an extra fee.
Task Extras may be removed for violations of these Terms or our Community Standards.
The number of Task Extras a Task Provider can offer and their pricing depend on their Rank.

Ranks

TaskSouq rewards Task Providers with Ranks based on their performance, reputation, and other criteria.
Task Providers with higher Ranks may offer Task Extras and set higher prices.
The available Ranks include Bronze Rank, Silver Rank, Gold Rank and Diamond Rank.
TaskSouq may change a Task Provider's Rank based on evaluation.

Task Buyers Basics

Task Buyers may not make direct payments to Task Providers outside of the TaskSouq platform.
TaskSouq retains the right to use publicly published delivered works for marketing and promotional purposes.
Task Buyers may request specific services through the "Post a Request" feature, but these services must align with TaskSouq's approved services guidelines.

Purchasing

Task Buyers can request Custom Offers that address their specific requirements and receive Custom Offers from Task Providers.
Payments for TaskSouq services must be made through the TaskSouq platform.
If you encounter any payment requests outside of TaskSouq, please report them immediately to Customer Support.

Orders Basics

Once payment is confirmed, an order is created with a unique TaskSouq order number.
Task Providers must meet specified delivery times, as late deliveries may lead to order cancellations.
Completed files and/or proof of work must be delivered through the TaskSouq platform.

Reviews

Reviews provided by Task Buyers are crucial for Task Providers' ratings.
Reviews will not be removed unless they violate these Terms or our Community Standards.
Manipulating reviews, withholding services to gain favourable reviews, or soliciting review removal is prohibited.

Disputes and Cancellations

Task Buyers and Task Providers are encouraged to resolve conflicts among themselves.
If conflicts persist, users can contact TaskSouq Customer Support for assistance.

These Terms of Service are designed to ensure a fair and secure experience for all users of TaskSouq. If you have any questions or concerns, please do not hesitate to contact our Customer Support team.

TaskSouq User Conduct and Protection

Our services offered on TaskSouq mirror the diversity of a rapidly growing task economy. The members of the TaskSouq community interact and communicate through task requests, social media interactions, and the TaskSouq Live Chat.

TaskSouq maintains a friendly, community-minded, and professional environment, and it is expected that all users adhere to these principles while participating in any activities or extensions of the TaskSouq platform. This section outlines the expected conduct that users should observe when interacting with each other on TaskSouq.

Basic Guidelines

Users are prohibited from sharing personal contact details, such as email addresses, Skype/IM usernames, telephone numbers, or any other personal information with the intention to communicate outside of TaskSouq to circumvent or misuse TaskSouq's messaging system or platform.
Any necessary exchange of personal information required to continue a service may only occur within the designated task order page.
TaskSouq does not guarantee the quality of services offered to Task Buyers. Users are encouraged to use the dispute resolution tools provided on the task order page when needed.
TaskSouq does not provide protection for users who engage in interactions outside of the TaskSouq platform.
All information and file exchanges must take place exclusively through TaskSouq's platform.
Rude, abusive, inappropriate language, or violent messages will not be tolerated and may result in an account warning or the suspension/removal of your account.
TaskSouq is open to everyone, and users must not discriminate against others based on gender, race, age, religious affiliation, sexual orientation, or any other factors. Discrimination may result in account suspension or removal.
Users may not submit proposals or solicit parties introduced through TaskSouq to contract, engage with, or make payments outside of TaskSouq.

Task Orders

Users found ordering tasks from competing providers with the intention to defame or harm competitors will have their task reviews removed, and additional actions may be taken as determined by our Trust &amp; Safety team.
Users are prohibited from spamming or soliciting previous Task Buyers or Task Providers to pursue actions related to removing or modifying reviews or cancelling tasks in a manner inconsistent with our Order Cancellation or Feedback policies.

Task Listings

Users have the option to report tasks to our Customer Support team if they believe a task is in violation of TaskSouq’s Terms of Service. Reports should be based on the task’s replicated similarity to pre-existing services (copycat tasks).
Task Providers are responsible for ensuring that all content included in their task listings is original work conceived by them and does not infringe upon any third-party rights, including copyrights, trademarks, or service marks. In cases where music or stock-footage media are incorporated within tasks, Task Providers must hold a valid license for their use and inclusion.
TaskSouq will respond to clear and complete notices of alleged copyright or trademark infringement. Please review our Intellectual Property claims procedures here for more information.

Reporting Violations

If you encounter content that may violate our Terms of Service and/or Community Standards, please report it through the appropriate channels established to address such issues, as outlined in our Terms of Service. All cases are reviewed by our Trust & Safety team. To protect individual privacy, investigation results are not shared. You can review our Privacy Policy for more information.

Violations

Users may receive warnings for violations of our Terms of Service, Community Standards, or any reported user misconduct. These warnings will be sent to the user's email address and displayed on the TaskSouq platform. Warnings do not limit account activity but may lead to the loss of Task Provider statuses or permanent account suspension, depending on the severity of the violation.

Non-Permitted Usage

TaskSouq strictly prohibits the exchange of adult-oriented or pornographic materials and services.
Communication on TaskSouq should always be friendly, constructive, and professional. We condemn bullying, harassment, and hate speech towards others. Our platform provides a medium for messages exchanged between individuals, a system for rating tasks, and engagement on broader platforms such as our Social Media pages.
Users must not engage in phishing or spamming activities that compromise the security of other members' accounts or computer environments. Please refrain from contacting others with offers, questions, suggestions, or anything unrelated to their tasks or orders.
Users are not permitted to publish or post other people's private and confidential information. The exchange of personal information required for task completion must occur within the designated task order page. Users who communicate outside of TaskSouq will not be protected by our Terms of Service.
Users must maintain an authentic TaskSouq profile. Creating a false identity, misrepresenting your identity, creating profiles for others, or using another user's account or information is strictly prohibited. Profile information, including descriptions, skills, and location, must be accurate, complete, and not misleading, illegal, offensive, or harmful. TaskSouq reserves the right to require users to undergo a verification process to use the platform.

Intellectual Property Claims

TaskSouq will respond to clear and complete notices of alleged copyright or trademark infringement, as well as violations of third-party terms of service. Please review our Intellectual Property claims procedures here for more information.

Fraud and Unlawful Use

TaskSouq may not be used for any unlawful purposes or to conduct illegal activities.

Abuse and Spam

To prevent fraud and abuse, users are limited to one active TaskSouq account. Additional accounts created to circumvent guidelines, gain competitive advantages, or mislead the TaskSouq community will be disabled. Mass account creation may result in the disabling of all related accounts. Note that violations of TaskSouq’s Terms of Service and/or Community Standards may result in the permanent suspension of all accounts.
We do not tolerate users who engage in targeted abuse or harassment towards other TaskSouq users. This includes creating multiple accounts to harass members through our messaging or ordering system.
The buying and selling of TaskSouq accounts are strictly prohibited.

Proprietary Restrictions

TaskSouq, including its general layout, look and feel, design, information, content, and other materials available on the platform, is exclusively owned by TaskSouq and is protected by copyright, trademark, and other intellectual property laws. TaskSouq is owned exclusively by TaskSouq. Users have no right, and specifically agree not to do the following with respect to the Site or any part, component, or extension of the Site (including its mobile applications):

Copy, transfer, adapt, modify, distribute, transmit, display, create derivative works, publish, or reproduce it in any manner.
Reverse assemble, decompile, reverse engineer, or otherwise attempt to derive its source code, underlying ideas, algorithms, structure, or organization.
Remove any copyright notice, identification, or any other proprietary notices.
Use automation software (bots), hacks, modifications (mods), or any other unauthorized third-party software designed to modify the Site.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt the Site or the computer systems or networks connected to the Site.
Circumvent, remove, alter, deactivate, degrade, or thwart any technological measure or content protections of the Site.
Use any robot, spider, crawlers, or other automatic device, process, software, or queries that intercept, “mines,” scrapes, or otherwise accesses the Site to monitor, extract, copy, or collect information or data from or through the Site, or engage in any manual process to do the same.
Introduce any viruses, trojan horses, worms, logic bombs, or other materials that are malicious or technologically harmful into our systems.
Use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other users’ enjoyment of the Site.

Users also agree not to permit or authorize anyone else to do any of the foregoing.

Except for the limited right to use the Site according to these Terms of Service, TaskSouq owns all right, title, and interest in and to the Site (including any and all intellectual property rights therein), and you agree not to take any action(s) inconsistent with such ownership interests. We reserve all rights in connection with the Site and its content (other than User-Generated Content) including, without limitation, the exclusive right to create derivative works.

Feedback Rights

To the extent that you provide TaskSouq with any comments, suggestions, or other feedback regarding the TaskSouq platform or the Site as a whole, as well as other TaskSouq products or services (collectively, the “Feedback”), you will be deemed to have granted TaskSouq an exclusive, royalty-free, fully paid-up, perpetual, irrevocable, worldwide ownership rights in the Feedback. TaskSouq is under no obligation to implement any Feedback it may receive from users.

Confidentiality

Task Providers should recognize that there might be a need for Task Buyers to disclose certain confidential information to be used by Task Providers for the purpose of delivering the ordered work, and to protect such confidential information from unauthorized use and disclosure. Therefore, Task Providers agree to treat any information received from Task Buyers as highly sensitive, top-secret, and classified material. Without derogating from the generality of the above, Task Providers specifically agree to:

Maintain all such information in strict confidence.
Not disclose the information to any third parties.
Not use the information for any purpose except for delivering the ordered work.
Not copy or reproduce any of the information without the Task Buyer’s permission.

General Terms

TaskSouq reserves the right to put any account on hold or permanently disable accounts due to a breach of these Terms of Service and/or our Community Standards, including low-quality services or deliveries, or due to any illegal or inappropriate use of the Site or services.
Violation of TaskSouq's Terms of Service and/or our Community Standards may result in the permanent disablement of your account.
Users with disabled accounts will not be able to provide or buy on TaskSouq.
Users who have violated our Terms of Service and/or our Community Standards and had their account disabled may contact our Customer Support team for more information surrounding the violation and the status of the account.
Users have the option to enable account Security features to protect their account from any unauthorized usage.
Users must be able to verify their account ownership through Customer Support by providing materials that prove ownership of that account.
Disputes should be handled using TaskSouq's dispute resolution tools ('Resolution Center' on the order page) or by contacting TaskSouq Customer Support.
TaskSouq may make changes to its Terms of Service from time to time. When these changes are made, TaskSouq will make a new copy of the terms of service available on this page.
You understand and agree that if you use TaskSouq after the date on which the Terms of Service have changed, TaskSouq will treat your use as acceptance of the updated Terms of Service.

TaskSouq User Generated Content

User-Generated Content ("UGC") refers to the content added by users as opposed to content created by TaskSouq. All content uploaded to TaskSouq by our users (Task Buyers and Task Providers) is User-Generated Content. TaskSouq does not review user uploaded/created content for appropriateness, violations of copyright, trademarks, other rights, or violations. The user uploading/creating such content shall be solely responsible for it and the consequences of using, disclosing, storing, or transmitting it. By uploading to or creating content on the TaskSouq platform, you represent and warrant that you own or have obtained all rights, licenses, consents, permissions, power, and/or authority necessary to use and/or upload such content. You further represent that such content or its use on the Site does not and shall not:

(a) Infringe or violate any intellectual property, proprietary, or privacy, data protection or publicity rights of any third party.

(b) Violate any applicable local, state, federal, and international laws, regulations, and conventions.

We invite everyone to report violations together with proof of ownership as appropriate. Reported violating content may be removed or disabled.

Furthermore, TaskSouq is not responsible for the content, quality, or the level of service provided by the Task Providers (even if they are Pro Freelancers, Top Rated Task Providers, or offer Promoted Tasks). We provide no warranty with respect to the tasks, their delivery, any communications between Task Buyers and Task Providers, and the task results. We encourage users to take advantage of our rating system, our community, and common sense in choosing appropriate services.

Ownership

Ownership and Limitations: When purchasing a Task on TaskSouq, unless explicitly stated otherwise on the Task Provider’s Task page/description, upon delivery of the work and subject to payment, the Task Buyer is granted all intellectual property rights, including but not limited to copyright in the work delivered by the Task Provider. The Task Provider waives any and all moral rights therein. Accordingly, the Task Provider expressly assigns to the Task Buyer the copyright in the delivered work. All transfer and assignment of intellectual property to the Task Buyer shall be subject to full payment for the Task, and the delivery may not be used if payment is cancelled for any reason. For removal of doubt, in custom created work (such as art work, design work, report generation, etc.), the delivered work and its copyright shall be the exclusive property of the Task Buyer. Upon delivery, the Task Provider agrees to assign all right, title, and interest in and to the delivered work to the Task Buyer. Some Tasks (including for custom created work) may charge additional payments (through Task Extras) for a Commercial Use License. This means that if you purchase the Task for personal use, you will own all rights required for such use and will not need the Commercial Use License. If you intend to use it for any charge or other consideration, or for any purpose directly or indirectly connected to any business or profit-making activity, you will need to purchase the Commercial Use License through a Task Extra, which grants broader rights covering your business use.

For Voice Over Tasks, when the work is delivered, and subject to payment, the Task Buyer is purchasing basic rights, allowing them to use the work forever and for any purpose except for commercials, radio, television, and internet commercial spots. If you intend to use the Voice Over to promote a product and/or service (except through paid marketing channels), you will need to purchase the Commercial Rights (Buy-Out) through a Task Extra. If you intend to use the Voice Over in radio, television, and internet commercials, you will need to purchase the Full Broadcast Rights (Buy-Out) through a Task Extra. For further information on the types of buy-outs, please read below.

Furthermore, users (both Task Buyers and Task Providers) agree that unless they explicitly indicate otherwise, the content users voluntarily create/upload to TaskSouq, including Task descriptions, photos, videos, usernames, user photos, user videos, and any other information, including the display of delivered work, may be used by TaskSouq for no consideration for marketing and/or other purposes.

Voice Over Commercial Buy-Out

When purchasing a Voice Over Task, the Task Provider grants you a perpetual, exclusive, non-transferable, worldwide license to use the purchased Voice Over (except for commercials, radio, television, and internet commercial spots). By purchasing a Commercial Rights (Buy-Out) with your order, in addition to the basic rights, the Task Provider grants you a license to use the Voice Over for any corporate, promotional, and non-broadcast purposes. Corporate, promotional, and non-broadcast purposes include any business-related use to create or promote a for-profit product or service (with the exception of paid marketing channels), such as explainer videos posted to company websites, social networks, or email campaigns, audiobooks, podcast intros, and strictly excludes any illegal, immoral, or defamatory purpose. By purchasing a Full Broadcast Rights (Buy-Out) with your order, in addition to the Commercial Rights, the Task Provider grants you a license for full broadcasting, which includes internet, radio, and TV "paid channels," including television commercials, radio commercials, internet radio, and music/video streaming platforms, and strictly excludes any illegal, immoral, or defamatory purpose.

Buy-Out terms are subject to TaskSouq's Terms of Service. There is no warranty, express or implied, with the purchase of this delivery, including with respect to fitness for a particular purpose. Neither the Task Provider nor TaskSouq will be liable for any claims or incidental, consequential, or other damages arising out of this license, the delivery, or your use of the delivery.

Task Commercial Use License

By purchasing a “Commercial Use License” with your Task Order, the Task Provider grants you a perpetual, exclusive, non-transferable, worldwide license to use the purchased delivery for Permitted Commercial Purposes. For the avoidance of doubt, the Task Provider retains all ownership rights. “Permitted Commercial Purposes” means any business-related use, such as advertising, promotion, creating web pages, integration into product, software, or other business-related tools, etc., and strictly excludes any illegal, immoral, or defamatory purpose. This License is subject to TaskSouq’s Terms of Service. There is no warranty, express or implied, with the purchase of this delivery, including with respect to fitness for a particular purpose. Neither the Task Provider nor TaskSouq will be liable for any claims, or incidental, consequential, or other damages arising out of this license, the delivery, or your use of the delivery.

Disclaimer of Warranties

Your use of the Site, its content, and any services or items obtained through the Site is at your own risk. The Site, its content, and any services or items obtained through the Site are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Neither TaskSouq nor any person associated with TaskSouq makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Site.

The foregoing does not affect any warranties which cannot be excluded or limited under applicable law.

Machine Translation

Certain user-generated content on the Site may be translated for your convenience using translation software powered by Amazon or Google. Reasonable efforts have been made to provide an accurate translation; however, no automated translation is perfect nor is it intended to replace human translators. Such translations are provided as a service to users of the Site and are provided "as is." No warranty of any kind, either expressed or implied, is made as to the accuracy, reliability, or correctness of such translations made from English into any other language. Some user-generated content (such as images, videos, Flash, etc.) may not be accurately translated or translated at all due to the limitations of the translation software.

Google and Amazon disclaim all warranties related to the translations, express or implied, including any warranties of accuracy, reliability, and any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The official text is the English version of the Site. Any discrepancies or differences created in the translation are not binding and have no legal effect for compliance or enforcement purposes. If any questions arise related to the accuracy of the information contained in the translated content, please refer to the English version of the content, which is the official version.

Limitation on Liability

Under no circumstances shall TaskSouq, its affiliates, licensors, service providers, employees, agents, officers, or directors be liable for any damages of any nature, whether arising under any legal theory, related to or in connection with your use or inability to use the TaskSouq website, any websites linked to it, any content on the TaskSouq website or such linked websites, or any services or items obtained through the TaskSouq website or such linked websites. This includes, but is not limited to, any direct, indirect, special, incidental, consequential, or punitive damages, such as personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, whether caused by tort (including negligence), breach of contract, or otherwise, even if such damages were foreseeable.

The above limitation on liability does not affect any liability that cannot be excluded or limited under applicable law.

For the purpose of these terms, the term "Affiliate" refers to an entity that, either directly or indirectly, exercises control over TaskSouq, is under the control of TaskSouq, or is under common control with TaskSouq. Control, in this context, implies possessing more than fifty percent (50%) of the voting stock or other ownership interest, or the majority of voting rights of such entity.
